THEAPP TERMS OF SERVICE

THEAPP is a subscription-based service available in One Month, 12 month and 36 Month subscription packages.  A billing period is defined as the subscription term selected by the subscriber, whether monthly, annually, or otherwise. A debit or credit card is required for subscription. Subscribers agree to these TERMS OF SERVICE upon placing a subscription to THEAPP.  Acceptance of these Terms of Service may occur electronically, including through subscription purchase, invoice payment, continued use of THEAPP services, or failure to cancel in accordance with these Terms. Subscriptions automatically renew unless canceled by the subscriber. There are no contracts. You can cancel your subscription to THEAPP at any time.

ALL CANCELATIONS MUST BE PROVIDED IN WRITING BY E-MAILING BILL@THEAPP.ONE.  Verbal requests, phone calls, or notices sent to any other address do not constitute valid cancellation. 

Cancelations must be received in writing no later than 10 days prior to the end of the billing period. Notices of cancelation received less than 10 days prior to the billing date or on or after the billing date will be canceled at the end of the next billing cycle. THEAPP is subscription based. You may cancel at any time. Please see our privacy policy for more information.

PRICING, LOCATIONS, AND RATE CHANGES

THEAPP subscriptions are billed on a per-location, per-year basis, unless otherwise expressly agreed to in writing by THEAPP.

By subscribing to THEAPP, the subscriber acknowledges and agrees that:

1. Each physical business location requires its own active subscription. A “location” is defined as a unique physical address or storefront, regardless of common ownership or branding.
    
2. Subscription pricing is subject to change over time. Upon renewal, all active subscriptions will renew at THEAPP’s then-current publicly posted rate, unless a different rate has been expressly agreed to in writing by THEAPP.
    
3. Additional locations added by a subscriber at any time will be billed at THEAPP’s current rate per location in effect at the time the additional location is added.
    
4. Any legacy or discounted pricing previously extended by THEAPP is considered a courtesy and does not constitute a permanent or binding rate, unless specifically stated in writing.
    
5. Continued use of THEAPP services, including maintaining active listings or receiving ongoing visibility, constitutes acceptance of current pricing, per-location billing, and these Terms of Service.
    
6. To avoid renewal or additional charges, subscribers must cancel in accordance with THEAPP’s stated cancellation policy.

THEAPP reserves the right to audit active listings and locations at any time to ensure accurate billing.

CHANGE OF OWNERSHIP, MERGER, OR SALE OF BUSINESS

In the event a subscriber’s business, assets, locations, or ownership are sold, transferred, merged, assigned, or otherwise conveyed to another entity or party, all active THEAPP subscriptions, listings, and contractual obligations shall remain in full force and effect unless properly canceled in accordance with these Terms of Service.

It is the responsibility of the subscriber to disclose all active THEAPP subscriptions and associated costs during any sale, merger, acquisition, or transfer of ownership.

Any successor owner, acquiring entity, or controlling party that continues to operate the business or its locations, or that continues to receive the benefits of THEAPP services, shall be deemed to have assumed all existing subscription obligations, including renewal terms, per-location billing, and current pricing, unless otherwise agreed to in writing by THEAPP.

Failure to notify THEAPP in writing of a change in ownership or control does not constitute cancellation and does not relieve the subscriber or successor entity of financial responsibility.

THEAPP subscriptions are not automatically terminated by a sale, acquisition, or change in ownership.  Invoices, receipts, and payment notices issued through THEAPP’s payment processor, including Stripe, expressly reference these Terms of Service, and payment or continued non-cancellation following receipt of such notices constitutes acknowledgment and acceptance of these terms.  These Terms of Service shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles.  Failure by THEAPP to enforce any provision of these Terms of Service shall not constitute a waiver of that provision or any other provision. 

THEAPP PRIVACY POLICY

THEAPP respects your privacy.

THEAPP is designed to help users locate welcoming businesses, organizations, services, and resources. We strive to minimize the collection of personal information and provide useful services without requiring user accounts or registrations.

INFORMATION WE COLLECT

THEAPP does not require users to create an account.

THEAPP does not require users to provide their name, email address, phone number, date of birth, or other personal information in order to use the application.

LOCATION SERVICES

THEAPP may request permission to access your device's location solely for the purpose of displaying nearby businesses, organizations, services, events, and resources.

Location information is used only to provide distance calculations, nearby search results, and mapping functionality.

THEAPP does not store, retain, sell, or share your location information.

When users request navigation or directions, they may be transferred to third-party mapping services such as Google Maps. Any information provided to those services is governed by the privacy policies of those providers.

TECHNICAL INFORMATION

Like most internet-based applications, hosting providers, network providers, and third-party services may automatically process limited technical information necessary to operate the service, such as device type, browser type, operating system, IP address, and diagnostic information.

THEAPP does not use this information to identify individual users.

DATA SHARING

THEAPP does not sell personal information.

THEAPP does not share personal information with advertisers, marketing companies, or data brokers.

Information may be disclosed only when required by law, court order, or legal process.

THIRD-PARTY SERVICES

THEAPP may utilize third-party services including mapping, hosting, security, and infrastructure providers required for normal operation of the application.

Users who access third-party services from within or through THEAPP are subject to the privacy policies of those providers.

CHILDREN'S PRIVACY

THEAPP is intended for general audiences and does not knowingly collect personal information from children.

SECURITY

Reasonable administrative, technical, and physical safeguards are used to protect the operation of THEAPP.

CHANGES TO THIS POLICY

This Privacy Policy may be updated from time to time. Updated versions will be posted at the Privacy Policy URL associated with THEAPP.

 BUSINESS CONTENT, IMAGE, LOGO AND MEDIA AUTHORIZATION

By purchasing, subscribing to, submitting information to, or otherwise using THEAPP services, the Business Customer expressly authorizes THEAPP to access, retrieve, download, reproduce, use, display, publish, modify, crop, resize, format, enhance, adapt, incorporate, distribute, and create derivative promotional or marketing materials from logos, trademarks, trade names, photographs, graphics, videos, menus, product images, service images, business descriptions, and other content made available by or on behalf of the Business Customer (“Business Materials”).

This authorization includes Business Materials supplied directly to THEAPP and Business Materials appearing on the Business Customer’s official website, official social-media accounts, business-controlled online profiles, digital marketing materials, or other publicly accessible online locations owned or controlled by the Business Customer.

The Business Customer grants THEAPP a non-exclusive, worldwide, royalty-free, fully paid-up, sublicensable license to use the Business Materials for the purpose of creating, operating, maintaining, displaying, distributing, advertising, promoting, and marketing the Business Customer’s Action Page, THEAPP services, and related promotional materials. THEAPP may sublicense such rights to its employees, contractors, designers, developers, advertising platforms, hosting providers, technology providers, and other service providers solely as reasonably necessary to perform or promote the services.

The Business Customer represents and warrants that it owns the Business Materials or otherwise possesses all licenses, permissions, releases, consents, trademark rights, copyright rights, publicity rights, and other authority necessary to grant THEAPP the rights described above. The Business Customer further represents and warrants that THEAPP’s authorized use of the Business Materials will not infringe or violate any copyright, trademark, privacy right, publicity right, contractual right, or other proprietary right of any third party.

The Business Customer is solely responsible for obtaining any permissions or releases required from photographers, designers, agencies, licensors, employees, customers, models, identifiable persons, or other third parties appearing in or associated with the Business Materials.

THEAPP is not authorized by this provision to use content owned exclusively by an unrelated third party merely because such content refers to, depicts, reviews, or discusses the Business Customer. Accordingly, photographs or other materials originating from third-party review sites, news organizations, independent photographers, publishers, bloggers, or other third parties will not be considered Business Materials unless the Business Customer separately represents that it possesses sufficient rights to authorize their use.

To the fullest extent permitted by applicable law, the Business Customer agrees to defend, indemnify, and hold harmless THEAPP and its owners, officers, employees, contractors, agents, affiliates, successors, and service providers from and against third-party claims, demands, actions, liabilities, damages, losses, judgments, settlements, penalties, costs, and reasonable attorneys’ fees arising from or relating to: (a) the Business Materials; (b) the Business Customer’s lack of authority to grant the rights described in this section; or (c) the Business Customer’s breach of any representation or warranty contained in this section, except to the extent a claim results from THEAPP’s use of Business Materials outside the authorization granted by these Terms.

THEAPP may elect not to use any Business Material and may remove or replace Business Materials at any time. If the Business Customer notifies THEAPP of a legitimate ownership, licensing, privacy, or other rights dispute concerning particular Business Materials, THEAPP may suspend or remove the disputed material while the matter is investigated.

The rights granted under this section survive termination to the extent reasonably necessary to maintain business records, backups, previously completed publications, archived materials, and promotional materials already produced or distributed before termination.
